HEREINAFTER called the “Principal” and “Stockist” respectively which expressions shall mean and include their respective legal heirs successors, administrators, assigns, representatives, agents, etc etc

WHEREAS the “Principal”above-named is a manufacturer/ Marketer/ Trader/ Wholesaler/ Retailer of OK LIFE, YOUNG FEEL AND NEEM FRESH Brands of products with presence all over India and the Stockist abovenamed has contacted the Principal for seeking stocking rights for the territorial jurisdiction of ___________District of ___________state and the Principal has accepted the offer, hence this deed.

NOW THEREFORE THIS DEED DOTH WITNESSETH AS UNDER7

1. That the principal abovenamed appoints M/S ____________as its Stockist for the territory of________________state_______________
2. That this agreement is at WILL but can be terminated by either party on giving a sixty days' written notice to the other party.
3. That the Stockist abovenamed will deposit, interest-free, refundable security, to be refunded on the termination of this agreement after satisfactory settlement of all accounts, whatsoever.
4. That the Stockist will arrange, from its own resources, a suitable premises with adequate floor area, as per the requirements of the Principal, owned or rented, for stocking the products and for carrying on the business of the Principal.
5. That the Principal will stock the products/goods in the premises offered by the stockist and the Principal will have full lien, ownership, legal rights and title on the said products
6. That the Stockist will deposit with the Principal, the cost of goods as per the bill raised by the Principal, from time to time, before removing any product/goods from the said wharehouse/ godown/ stock point.
7. That the stockist will receive percent trade discount on the listed MRP of the company as in force from time to time.
8. That on termination of this agreement proper accounts will be prepared and settled after physical verification and taking over of the stock by the Principal. However the Principal will be at liberty to vacate the wharehouse/ godown/stock point premises as soon as possible only after making alternative arrangements for storing its stock.
9. That following will constitute breach of this agreement resulting in termination of this agreement:
   1. If the stockist is found to be storing or dealing with products of any other brand whatsoever without written consent of the Principal.
   2. If the stockist has removed any goods/stock/products from the wharehouse/ godown/ stock point without written consent of the Principal.
   3. If the stockist is found to be promoting produ8cts of other brands.
   4. If the stockist is found to be indulging in any activity deterimental to the interests of the Principal's business.
   5. If the stockist is found to be working against the instructions, policies and guidelines of the Principal provide to it from time to time.
10. That if the Principal terminates this agreement for any breach, by the stockist as mentioned in para nine hereinabove, then the Principal will be entitled to recover any or all of the costs of the depleted or damaged stock in addition to monetary, goodwill or brand value losses suffered by it, from the Security Money deposited by the Stockist.
11. That this agreement is governed under the provisions of the Sale of Goods Act, 1930, Indian Contract Act, 1872 and other Civil and Criminal Acts prevalent in the country from time to time.
12. That disputes, if any, shall be resolved in accordance with the provisions of the Indian Arbitration and Reconciliation Act, as in force with legal jurisdiction of Rohtak, Haryana courts.

Office Notice

All Staff Members Should Note :-

1. W.E.F. 01.10.2017 to 31.03.2018, the office timings will be 9.00 am to 17.30 hrs with half hour lunch break from 13.00 to 13.30 hours. However store officials can avail lunch break turn by turn so that one official is present in the store.
2. No official is allowed to use personal mobiles duriing office hours and the same shall remain switched off in the custody of capt d s hooda.
3. Official dress code shall be strictly observed. Saturday will be dress free day
4. Any official who does not inform in advance will be marked absent without pay.
5. It is expected from all officials to maintain office decorum and discipline.

5. That the “Principal” will deposit with the “Principal” , the cost of goods as per the bill raised by the“Principal” , before removing any product/goods from the wharehouse.
6. That the “Stockist” will receive percent discount on the stock of the goods sold from his premises.
